Terms of Service

These Terms of Service ("Terms") govern access to and use of Vexo (the "Service"), operated by Yolosoft Technology, a company established in Turkey ("Yolosoft", "we", "us"). By creating an account or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("you", "your workspace").

1. The Service

Vexo lets you enroll agents on your own infrastructure to monitor GPU utilization, thermal health, availability, and estimated cost, organized into isolated workspaces ("tenants"). Features, reports, and usage limits available to your workspace depend on your plan; see Pricing.

2. Accounts and Workspaces

  • You must provide a valid email address and keep your account credentials confidential.
  • A workspace's Admin role controls who may join it and what role each member holds.
  • You are responsible for all activity that occurs under your account and your workspace.
  • You must be able to form a binding contract to use the Service, and use of the Service by minors is not permitted.

3. Acceptable Use

You agree not to: use the Service to monitor infrastructure you are not authorized to monitor; attempt to access another workspace's agents, reports, or data; interfere with or disrupt the Service's integrity or performance; or use the Service in violation of applicable law.

4. Your Data

You retain all rights to the data your agents report and the workspace data you create ("Customer Data"). You grant us a license to host, process, and display Customer Data solely to provide the Service to you. See our Privacy Policy for how account and metrics data is collected, used, and retained.

5. Fees and Billing

Paid plans are billed as described at the time of purchase or in your order form. Fees are non-refundable except as required by law or as we expressly state otherwise. We may change our pricing on a going-forward basis with notice, as described on the Pricing page.

6. Termination

You may stop using the Service and leave or delete your workspace at any time. We may suspend or terminate access to the Service for conduct that violates these Terms or poses a risk to the Service or other users, with notice where practicable.

7. Disclaimers

The Service is provided "as is." Estimated cost and utilization figures are calculated from data reported by your own agents and the electricity rate and hardware cost inputs you configure; we do not guarantee their accuracy. To the maximum extent permitted by law, we disclaim all warranties, express or implied, regarding the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Yolosoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or an in-product notice) before the changes take effect.

10. Governing Law

These Terms are governed by the laws of the Republic of Turkey, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms will be subject to the exclusive jurisdiction of the [Yolosoft Technology's registered city, Turkey] courts and execution offices. If you are using the Service as a consumer in a country whose law grants you protections that cannot be limited by contract, nothing in this section takes those protections away from you.
